Terms and conditions
1. Scope
These terms and conditions apply to all contracts between Traduo GmbH in formation, Schwarztorstrasse 96, 3007 Bern, Switzerland (the “provider”), for which Max Suter acts until it is entered in the commercial register (art. 779a CO), and its customers concerning the “Traduo” software and associated services. Customer terms that differ from these terms apply only if accepted in writing by the provider.
2. Formation of the contract
The provider’s offers are non-binding. A contract is formed when the offer is accepted in writing or an individual contract is signed.
3. Services
The provider supplies the “Traduo” software for installation in the customer’s infrastructure (on premises) or in an agreed isolated environment. The scope, service levels, updates, maintenance windows and support services are set out in the individual contract.
4. Test and demonstration access
Any test or demonstration access is provided solely for evaluation, may have restricted functionality and must not be used with production data or particularly sensitive data. It may be terminated at any time without stating reasons.
5. Prices and payment
Fees and payment terms are set out in the individual offer or contract.
6. Customer obligations
The customer is responsible for operating its own infrastructure, managing access and complying with the legal and regulatory requirements that apply to it, particularly when handling personal data and classified information.
7. Warranty
The provider warrants the functions agreed in the contract. Machine translations are working aids; the provider does not warrant the accuracy of the content of individual translations. Warranty periods and remedies for defects are governed by the individual contract and applicable law.
8. Liability
Liability for slight negligence and for indirect or consequential loss is excluded to the extent permitted by law. Any further liability provisions are set out in the individual contract.
9. Confidentiality and data protection
Each party must treat the other party’s confidential information as confidential. Processing of personal data is governed by the privacy policy and any contractual arrangements, such as a data-processing agreement.
10. Final provisions
Swiss law applies, excluding its conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods. To the extent permitted by law, the courts at the provider’s registered office have jurisdiction. If any provision of these terms is invalid, the remaining provisions remain effective.
